Terms of Service

1. Service Description

videobao provides AI-powered video and image generation services through a credits-based subscription and top-up system. Users may generate content using various third-party AI models (including but not limited to Veo, Kling, Runway, FLUX, Midjourney).

Third-Party Model Disclaimer. Availability of specific AI models depends entirely on third-party providers. videobao reserves the right to add, modify, replace, or remove any AI model from the service at any time, without prior notice and without liability or obligation to issue refunds.

Third-Party API Pricing & Credit Adjustments. videobao routes generation requests to third-party AI model APIs. If a third-party provider changes its pricing, we may adjust the credit cost of affected models, plans, or top-up packages accordingly. Any such adjustment applies to future generations and purchases only; existing unused credits remain valid under the terms in effect at the time they were granted.

2. Eligibility & Age Restrictions

By accessing or using videobao, you represent and warrant that you are at least 18 years of age, or the age of legal majority in your jurisdiction (whichever is higher). If you are under 18, you are strictly prohibited from using the service.

3. Account & Credits

• Each user may receive complimentary free credits upon sign-up, subject to change at our sole discretion.
• Credits are consumed dynamically based on the specific AI model chosen, generation duration, frame rate, and resolution.
• Credits can be acquired via recurring monthly subscriptions or one-time top-up packs via our third-party payment provider, Creem.io.
• Credit costs are tied to third-party AI model API pricing. videobao may update per-model credit costs, plan allowances, or package prices in response to provider price changes.
• All credits are non-transferable, non-exchangeable, and strictly non-refundable.
• Monthly subscription credits reset at each billing cycle and do not roll over. One-time top-up credits do not expire and remain in active accounts until consumed.
• videobao reserves the right to terminate inactive accounts (no login for over 12 consecutive months), upon which any remaining credits will be forfeited.

4. Content Ownership, User License & AI Caveats

Ownership. videobao does not claim ownership over the texts, prompts, images, or videos you upload or generate. Subject to your compliance with these Terms and the underlying third-party AI models' licenses, ownership and commercial rights generally reside with you.

Platform License. By using videobao, you grant videobao a worldwide, non-exclusive, royalty-free, fully paid-up, transferable license to host, store, process, reproduce, and display your input data and generated content solely for the purposes of providing, maintaining, and improving our services.

No Copyright Guarantee. Due to the evolving nature of global AI copyright laws, videobao makes no representation or guarantee that your generated content is eligible for copyright protection in any jurisdiction.

AI Output Disclaimer. AI-generated outputs are probabilistic and may contain inaccuracies, errors, or material that infringes third-party rights. You acknowledge that you will not rely on AI-generated outputs as a sole source of truth or as a substitute for professional advice, and you are solely responsible for verifying any AI-generated content before commercial or public use.

5. Acceptable Use Policy

You agree NOT to use videobao to generate, upload, or share any content that:

• Is illegal, harmful, threatening, abusive, harassing, or defamatory.
• Contains Not-Safe-For-Work (NSFW), sexually explicit, pornographic, or adult content of any kind.
• Infringes upon the intellectual property, privacy, or publicity rights of any third party.
• Creates deceptive, highly misleading material (such as unauthorized deepfakes) or misinformation.
• Attempts to scrape, reverse-engineer, exploit, or circumvent security and credit mechanisms of videobao.
• Violates the acceptable use policies of our underlying third-party model providers.

Violation of this policy will result in immediate account suspension or permanent termination without refund.

6. Content Retention

Generated content is stored temporarily as a convenience: 3 days for the free tier and up to 30 days for paid plans. After this retention period, content is permanently and irreversibly deleted from our servers. videobao is not liable for any data loss; you are solely responsible for downloading and backing up your content before expiration.

7. Subscription, Payments & Disputes

• Subscriptions and payments are processed and managed securely via Creem.io.
• You can cancel your subscription at any time. Cancellation prevents future auto-renewal; you will retain access to your subscription credits until the end of the current billing cycle.
• Any chargebacks or fraudulent payment disputes will result in the immediate and permanent banning of your account and forfeiture of all history and credits.

8. Service Availability & "As-Is" Disclaimer

videobao is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee that the service will be uninterrupted, timely, secure, or error-free. Service may be temporarily suspended due to routine maintenance, server upgrades, or third-party provider outages.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall videobao, its founders, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, credits, commercial opportunities, or content.

Liability Cap. In no event shall videobao's total aggregate liability for all claims arising out of or relating to the service exceed the greater of: (a) the total amount paid or payable by you to videobao during the twelve (12) months immediately preceding the event giving rise to liability, or (b) one hundred U.S. dollars (USD $100).

Carve-Outs. The foregoing limitations do not apply to: (i) videobao's indemnification obligations; (ii) a party's breach of confidentiality obligations; (iii) gross negligence or willful misconduct; or (iv) your payment obligations to videobao.

10. Governing Law & Dispute Resolution

Governing Law. These Terms and your relationship with videobao shall be governed by and construed in accordance with the laws of Hong Kong SAR, without regard to its conflict of law principles.

Mandatory Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be finally settled by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with the HKIAC Administered Arbitration Rules then in force. The seat of arbitration shall be Hong Kong. The arbitration shall be conducted in English by a single arbitrator. The award of the arbitrator shall be final and binding.

Class Action Waiver. To the fullest extent permitted by applicable law, you and videobao agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

30-Day Opt-Out. You may opt out of the arbitration and class action waiver provisions by sending written notice to support@videobao.com within thirty (30) days of your first acceptance of these Terms. If you opt out, videobao will also not be bound to arbitrate.

11. Termination

We reserve the right to suspend or terminate your account and access to the service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users or our business interests.
